Terms of service
The terms that govern use of the IdeaScore website and application.
These terms govern access to and use of IdeaScore, the programme-evaluation platform operated by CMS Global ("we", "us"). By creating an organisation, signing in, or using IdeaScore as an evaluator or applicant, you agree to these terms. If you are entering into these terms on behalf of an institution, you confirm you have the authority to bind it.
1. Accounts
1.1 An organisation admin creates the organisation account and is responsible for the accuracy of the information provided and for the conduct of users invited under that organisation.
1.2 Evaluators and applicants access the platform through accounts or magic links issued by the organisation running a programme; these terms apply to them for the duration of that access.
1.3 You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at support@ideascore.online if you suspect unauthorised access.
2. Plans and billing
2.1 IdeaScore is offered on the plans described at ideascore.online/pricing. Fees are quoted exclusive of applicable taxes; goods and services tax (GST) is added to invoices issued to customers in India at the prevailing rate.
2.2 Subscriptions renew for successive terms unless cancelled before the renewal date. Where a subscription lapses, the organisation moves to a read-only grace period before data is archived, as described in the Trust page.
2.3 Fees are non-refundable except where required by law or expressly agreed in writing.
3. Acceptable use
3.1 Use of IdeaScore is subject to the Acceptable Use Policy, which is incorporated into these terms by reference. Breach of that policy is a breach of these terms and may result in suspension or termination of access.
4. Intellectual property
4.1 IdeaScore, its software, design and documentation are the property of CMS Global or its licensors. These terms grant a limited, non-exclusive, non-transferable right to use the platform; they do not transfer any ownership.
4.2 An organisation retains ownership of the programme data it and its users submit (application content, scores, notes, files). We claim no ownership over that data and use it only to provide the service and as described in the Privacy policy.
4.3 Feedback you give us about the product may be used to improve IdeaScore without obligation or compensation to you.
5. IdeaScore AI disclaimer
5.1 IdeaScore AI produces research summaries and suggested scores to assist, not replace, human evaluators. Outputs are generated automatically from web sources and application content and may be incomplete, out of date or wrong.
5.2 An organisation is responsible for deciding how much weight, if any, its evaluators give to IdeaScore AI output. Final decisions on any application remain the responsibility of the organisation and its evaluators, not CMS Global.
5.3 We do not guarantee that IdeaScore AI will identify every relevant source, competitor or risk for a given application.
6. Availability
6.1 We aim for high availability of the cloud service but do not guarantee uninterrupted access. Planned maintenance is communicated in advance where practical; unplanned incidents are reported on the status page referenced from the Trust page.
6.2 Customers who self-host IdeaScore on their own server are responsible for the availability of their own infrastructure.
7. Termination
7.1 Either party may terminate a subscription in accordance with the order form or, absent one, on 30 days' written notice.
7.2 We may suspend or terminate access immediately for a material breach of these terms, the Acceptable Use Policy, or non-payment, after reasonable notice where practical.
7.3 On termination, an organisation may export its data during the retention window described in the Privacy policy, after which it is deleted.
8. Liability
8.1 To the extent permitted by law, IdeaScore is provided "as is" without warranties beyond those that cannot be excluded by law.
8.2 To the extent permitted by law, our aggregate liability arising out of or relating to these terms is limited to the fees paid by the organisation for the service in the 12 months preceding the claim.
8.3 Neither party is liable for indirect, incidental or consequential loss, including loss of data, revenue or goodwill, to the extent permitted by law.
8.4 Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited under Indian law.
9. Governing law and disputes
9.1 These terms are governed by the laws of India.
9.2 Any dispute arising out of or in connection with these terms will first be attempted to be resolved amicably, failing which it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator, seated in Kolkata, West Bengal, India, // PLACEHOLDER: confirm arbitration seat matches the company's registered city, in the English language.
9.3 Subject to clause 9.2, the courts at the arbitration seat have exclusive jurisdiction over matters not referable to arbitration.
10. Changes
10.1 We may update these terms from time to time. Material changes will be notified to organisation administrators by email in advance of taking effect.
